              ACQUISITION OF SHARES IN SCOTTISH RADIO HOLDINGS PLC



Emap plc ('Emap') announces that it has today acquired SMG plc's stake in
Scottish Radio Holdings plc ('SRH') amounting to 9,729,361 shares representing
27.8% of the issued share capital of SRH, at a price of 930 pence per share.
This amounts to a total consideration of £90.5 million, which has been paid in
cash.



Emap has no intention to make or participate in an offer for the outstanding
shares in SRH except that it reserves the right to reconsider this in the event
that (i) there is an announcement by a third party of a firm intention to make
an offer for SRH; or (ii) a third party acquires a stake of 20% or more in the
issued share capital of SRH.



Gary Hughes, Group Finance Director of Emap plc, said:



'We believe that there will be opportunities for consolidation within the UK
radio sector now that the Communications Bill has been enacted.  Against this
background, we regard the stake in SRH as an attractive strategic asset.'
