               DFS Furniture Company PLC ('DFS' or 'the Company')

                                   Offer Update

On 4 March 2004 we announced that the Company had been approached in relation to
a possible offer for the Company by Graham Kirkham, Executive Chairman, at a
price of 415 pence per share.  Following a period of negotiation, the
Independent Committee and Graham Kirkham have not yet been able to reach
agreement on terms which the Independent Committee could recommend shareholders
to accept.  However, discussions between the parties are continuing and we will
keep shareholders updated on progress as appropriate.

Further announcements will be made as appropriate.
